PROPOSED BYLAWS

Dear Members,
 
The car wash industry has evolved tremendously since 2011. The largest conveyor car wash company now boasts six times as many stores as the leader did back then. The once-novel unlimited subscription model is now a standard. Our annual trade show has transformed from Car Care World Expo to a global event with international editions.
 
As we look to the future, we expect even more growth and transformation. To stay ahead of the curve and continue serving the car wash community effectively, we need your help.
 
The International Carwash Association’s Board of Directors is recommending your approval of new bylaws, the first update since 2011. Key changes in the new bylaws include:
 
- Allowing the size of the board to range from 15 to 19 directors, instead of the current fixed 16.
- Permitting directors to serve up to two consecutive 2-year terms, replacing the single 3-year term limit.
 
Additionally, we request your approval for a special one-time provision for the following current directors to serve a special 1-year term to ensure governance continuity as we move into the new structure:
 
- Paul Stagg, operator director
- Mark Tentis, vendor director
- Scott Pashley, vendor director
 
Importantly, ICA’s unique “community ownership” structure remains unchanged. We will continue to be a nonprofit organization, governed by a volunteer board of industry leaders committed to our community’s best interests.
